Terms of Service

1. Agreement to terms
This agreement is between you, or the business entity on whose behalf you are acting (the "Customer" or "you"), and Relay ("Relay", "we", or the "Service"). Using the website, signing up, or using any part of the Service constitutes full acceptance of these terms and of the Privacy Policy. If you don't agree, don't use the Service.
2. Definitions
- "Service" - the Relay platform and related interfaces, including the AI Agent that runs on a business WhatsApp number.
- "Agent" - the AI unit operated on behalf of the Customer that replies to End Users.
- "End User" - a person who communicates with the Agent via WhatsApp.
- "Customer Content" - any information, text, knowledge base, configuration, and message traffic submitted to the Service.
- "Subscription" - an active paid plan on the Customer's account.
3. Eligibility and registration
The Service is intended for businesses and individuals aged 18+. By signing up you confirm that your details are accurate, that you are authorized to bind the organization to this agreement, and that your use will not violate any law or other contract. You are responsible for safeguarding your login credentials and for all activity on your account.
4. The Service
Relay provides infrastructure to run an AI Agent on a business WhatsApp number. The Agent replies to End Users based on the persona, knowledge base, and configuration you supply. The Service also includes an admin interface, conversation history, lead management, and related integrations. Features, capabilities, and usage limits may change from time to time.
5. Subscription, trial, billing
Plans, prices, and usage allowances are published on the pricing page. Each new plan includes a 14-day free trial with no credit card required. At the end of the trial, the plan is billed at the selected tier unless cancelled beforehand. Billing is processed by Lemon Squeezy as Merchant of Record, subject to their terms for local taxes (including Israeli VAT where applicable).
6. Cancellation and refunds
You can cancel your Subscription anytime from the dashboard. Cancellation takes effect at the end of the current billing period, and no pro-rated refund is issued for a partial period, unless required by law. For business customers in Israel, the Consumer Protection Law, 5741-1981, as amended, applies.
7. Acceptable use
You may not use Relay to: (a) send spam, unsolicited marketing, or bulk messages without the explicit consent of recipients, (b) violate Meta's WhatsApp Business Policy or WhatsApp Commerce Policy, (c) impersonate any person or organization, (d) conduct illegal activity, fraud, or incitement, or (e) bypass technical limits of the Service. Violations will result in immediate suspension or account closure, with no refund.
8. Customer Content
Any content you upload remains yours. You grant Relay a limited, non-exclusive, non-transferable license to use the content solely to operate the Service for you (for example: processing inbound messages, generating replies, indexing the knowledge base). We do not use Customer Content to train AI models. You represent that you hold all rights necessary in the content and that it does not infringe any third-party rights.
9. Customer responsibility for End User communication
You are solely responsible for the configuration content, the persona, and the quality of the Agent's replies to your End Users. You are responsible for disclosing to End Users (where required by law) that they are interacting with an AI Agent and not a human, for obtaining their consent for data processing, and for complying with all laws applicable in your jurisdiction, including privacy, marketing communications, and consumer information.
10. Privacy
How we collect data, how we use it, and your deletion rights are detailed in the Privacy Policy, which forms an integral part of this agreement.
11. Sub-processors and third parties
The Service relies on sub-processors for hosting, data storage, language models, email, and payment processing. A current list of sub-processors is available on request. Use of the Agent on WhatsApp is also subject to the terms of the underlying platform operator, which are outside our control. We are not responsible for changes in third-party terms that may affect the operation of the Service.
12. Intellectual property
All rights in the Service, source code, design, names, logo, and Relay's trademarks are reserved. You receive no rights beyond those expressly granted in this agreement. You may not copy, reverse-engineer, create derivative works of, or trade in any part of the Service.
13. Availability and maintenance
We target 99.5%+ uptime. There may be planned maintenance windows announced in advance, and transient issues. The Service is provided "AS IS" and "AS AVAILABLE", with no guarantee of uninterrupted operation, fitness for a particular purpose, or specific business outcomes.
14. Suspension and termination
We may suspend or close an account in case of breach, non-payment, security risk, or legal requirement. You may close your account at any time. Upon closure, your data will be deleted within 30 days, except records we are required to retain by law.
15. Disclaimers and limitation of liability
To the maximum extent permitted by law: Relay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity. Our aggregate liability for any claim related to the Service shall not exceed the amounts you actually paid in the 12 months preceding the event giving rise to the claim.
16. Indemnification
You agree to indemnify Relay and its officers against any claim, damage, or expense arising from your use of the Service, content you uploaded, or breach of these terms.
17. Changes to terms
We may update these terms from time to time. Material changes will be communicated by email at least 30 days in advance. Continued use of the Service after a change takes effect constitutes acceptance.
18. Governing law and jurisdiction
These terms are governed by the laws of the State of Israel, without regard to conflict of law rules. Exclusive jurisdiction over any dispute lies with the competent courts of the Tel Aviv-Yafo district.
19. Miscellaneous
If any provision is held unenforceable, the remaining provisions remain in effect. Waiver of any provision is not a continuing waiver. You may not assign this agreement without our written consent. This agreement and the documents referenced in it constitute the entire agreement between you and Relay regarding the Service.
